- AI-generated content may be inaccurate—always review before using.
- We can remove content or accounts that violate these terms.
- Back up your important campaign data.
1. Definitions
Throughout these Terms, the following definitions apply:
- "Service" means the Crit Keepers web application, website, and all related features, tools, and functionality.
- "User," "you," or "your" means any individual who accesses or uses the Service.
- "User Content" means any content you submit, upload, input, or create through the Service, including campaign notes, player information, prompts, tags, character details, and any other text or data.
- "AI Features" means any functionality that uses artificial intelligence or large language models (LLMs) to generate content, including but not limited to encounter generation, NPC creation, quest ideas, loot suggestions, and flavor text.
- "Generated Content" means any output produced by the AI Features based on your inputs or prompts.
- "We," "us," or "our" means Crit Keepers and its operators.
2. Agreement to Terms
By accessing or using the Service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.
We may update these Terms from time to time. If we make material changes, we will update the "Effective Date" at the top. Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms.
3. The Service
Crit Keepers provides tools for tabletop RPG campaign management, including:
- Campaign creation and organization
- Player and character management
- Encounter tracking and history
- Items and inventory management
- Session notes and history
- AI-powered content generation features
The Service may support multiple tabletop RPG systems. Features may be added, modified, or removed at any time without notice.
4. No Affiliation / Trademark Disclaimer
Crit Keepers is an independent product and is not affiliated with, endorsed by, sponsored by, or associated with any tabletop RPG publisher, video game company, or their intellectual properties, including but not limited to Wizards of the Coast, Dungeons & Dragons, Hasbro, Activision Blizzard, or any other rights holders.
All trademarks, service marks, and trade names referenced herein are the property of their respective owners. Any use of third-party trademarks is for identification purposes only and does not imply any affiliation or endorsement.
5. Accounts
To access certain features, you must create an account. You agree to:
- Provide accurate and complete account information
- Keep your login credentials secure and confidential
- Notify us immediately if you believe your account has been compromised
- Not share your account with others or allow unauthorized access
You are solely responsible for all activity that occurs under your account, whether or not authorized by you.
5.1 Account Management
You may manage your account through the Account Settings page, including updating your password, viewing account information, managing preferences, and permanently deleting your account.
5.2 Eligibility
To use the Service, you must:
- Be at least 13 years of age
- If you are under the age of majority in your jurisdiction (typically 18), have permission from a parent or legal guardian
- Have the legal capacity to enter into these Terms
By creating an account, you represent that you meet these eligibility requirements.
6. User Content
6.1 Your Responsibility
You are solely responsible for all User Content you submit, upload, input, create, publish, save, or share through the Service. This includes any content you provide as prompts to the AI Features and any content you choose to export, share, or use outside the Service.
6.2 License to Us
You retain ownership of your User Content. By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, process, display, and transmit your User Content solely as necessary to provide and operate the Service.
6.3 No Liability for User Content
Crit Keepers is not responsible for User Content submitted by you or any other user. We do not endorse, verify, or guarantee the accuracy, completeness, or legality of any User Content.
7. AI-Generated Content
7.1 Third-Party AI Providers
The AI Features use third-party large language model (LLM) providers to generate content. When you use AI Features, your inputs (prompts, campaign context, character information, etc.) may be sent to these third-party providers for processing.
7.2 Disclaimer of AI Output
Generated Content may be:
- Inaccurate, incomplete, or factually incorrect
- Inappropriate, offensive, or objectionable
- Inconsistent with game rules or lore
- Similar to or potentially infringing upon third-party intellectual property
7.3 Your Responsibility
You must review all Generated Content before using it publicly, commercially, or in any context outside personal use. You are solely responsible for how you use, modify, publish, or distribute Generated Content. We make no warranties regarding the accuracy, originality, or suitability of Generated Content for any purpose.
8. Copyright and Intellectual Property Policy
8.1 Prohibited Content
You may NOT use the Service to upload, reproduce, or distribute:
- Verbatim copyrighted text, stat blocks, or rules text from official published sources
- Substantial portions of protected setting descriptions, location lore, or world-building content from copyrighted works
- Content intended to reproduce or distribute protected intellectual property
8.2 Content Policy Clarification
We understand that tabletop RPG campaigns often reference official settings and characters. Using names like "Waterdeep" or "Strahd" in your personal campaign notes for your own game sessions is expected and acceptable.
However, you may not use the Service to reproduce, store, or distribute substantial copyrighted content (e.g., copying entire stat blocks, adventures, or setting chapters). If we receive a valid complaint, we may remove content that infringes on third-party rights.
8.3 Permitted Content
Generic fantasy terms and concepts that are not protected expression may be used freely. Common fantasy creatures (kobolds, goblins, dragons) and generic fantasy tropes are permitted, provided you are not copying verbatim protected expression from copyrighted sources.
8.4 Your Representations
By submitting User Content, you represent and warrant that:
- You own or have the necessary rights to use the content
- Your content does not infringe any third-party intellectual property rights
- Your content complies with all applicable laws
9. Copyright Infringement and Takedown Process
9.1 Reporting Infringement
If you believe that content on the Service infringes your copyright or other intellectual property rights, please send a notice to:

Your notice should include:
- Identification of the copyrighted work claimed to be infringed
- Identification of the allegedly infringing material and its location on the Service
- Your contact information (name, address, email, phone number)
- A statement that you have a good faith belief the use is not authorized
- A statement, under penalty of perjury, that the information is accurate and you are authorized to act on behalf of the copyright owner
- Your physical or electronic signature
9.2 Our Response
Upon receiving a valid takedown notice, we may:
- Remove or disable access to the allegedly infringing content
- Notify the user who posted the content
- Terminate accounts of repeat infringers
- Scan and reconcile stored data to comply with takedown requests
We cannot guarantee that all infringing content will be identified or removed, but we will make reasonable efforts to respond to valid complaints.
9.3 Counter-Notice
If you believe your content was removed in error, you may submit a counter-notice to admin@critkeepers.com containing:
- Identification of the material that was removed and its former location
- A statement under penalty of perjury that you have a good faith belief the material was removed by mistake or misidentification
- Your name, address, and telephone number
- A statement that you consent to jurisdiction of the federal court in your district and will accept service of process from the complainant
- Your physical or electronic signature
Upon receiving a valid counter-notice, we may restore the removed content unless the original complainant files a court action within 10-14 business days.
10. Content Moderation and Removal
We reserve the right, but have no obligation, to:
- Monitor, review, or screen User Content and Generated Content
- Remove or modify any content that violates these Terms or applicable law
- Remove or modify stored Generated Content if it violates policy or in response to a valid complaint
- Restrict or suspend access to accounts that violate these Terms
- Cooperate with law enforcement or legal processes
We may take these actions without prior notice and without liability to you.
11. Acceptable Use
You agree NOT to use the Service to:
- Harass, threaten, abuse, or harm others
- Post or generate illegal, defamatory, or obscene content
- Impersonate any person or entity
- Upload or transmit malware, viruses, or malicious code
- Attempt to gain unauthorized access to the Service or other users' accounts
- Scrape, crawl, or use automated means to access the Service without permission
- Abuse rate limits or attempt to bypass restrictions
- Interfere with or disrupt the Service or servers
- Use the Service for any illegal purpose
- Violate any applicable laws or regulations
We may suspend or terminate accounts that violate these Terms without prior notice.
12. Payments and Subscriptions
12.1 Paid Features
Some features of the Service may require payment, including subscriptions or one-time purchases ("Paid Features"). Pricing, billing terms, and feature details will be presented at the time of purchase.
12.2 Billing
By purchasing Paid Features, you authorize us (or our payment processor) to charge your payment method. Subscriptions will automatically renew unless cancelled before the renewal date.
12.3 Refunds
Refunds are provided as required by applicable law. Unless otherwise required by law, payments are non-refundable. If you believe you are entitled to a refund, please contact us at admin@critkeepers.com.
12.4 Price Changes
We may change pricing or subscription terms with reasonable notice. Continued use after price changes constitutes acceptance of the new pricing.
13. Data Retention and Backup
We do not guarantee permanent retention of your data. We may delete or modify content:
- For compliance with legal requirements or takedown requests
- For safety, security, or policy enforcement
- If your account is terminated or inactive for an extended period
- For technical or operational reasons
You are responsible for maintaining backups of your important campaign data. We recommend regularly exporting any content you wish to preserve.
14. Service Availability
We do not guarantee that the Service will be available at all times. The Service may be interrupted for maintenance, updates, or unexpected technical issues. We may modify, suspend, or discontinue the Service (or any part thereof) at any time without notice or liability.
15. Termination
15.1 By You
You may stop using the Service at any time. You may permanently delete your account through the Account Settings page. Account deletion will permanently remove your account and all associated data and cannot be undone.
15.2 By Us
We may suspend or terminate your access to the Service if:
- You violate these Terms
- Your use creates risk or legal exposure for us
- We are required to do so by law
- We discontinue the Service
15.3 Effect of Termination
Upon termination, your right to use the Service will cease immediately. Sections of these Terms that by their nature should survive (including liability limitations, indemnification, and dispute resolution) will survive termination.
16. Disclaimer of Warranties
THE SERVICE, INCLUDING ALL CONTENT, FEATURES, AND AI-GENERATED OUTPUT, IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, OR USEFULNESS OF ANY AI-GENERATED CONTENT.
17. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CRIT KEEPERS, ITS OPERATORS, AFFILIATES, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
18. Indemnification
You agree to indemnify, defend, and hold harmless Crit Keepers, its operators, affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service
- Your User Content
- Your use of Generated Content
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property rights
- Your violation of any applicable law or regulation
19. Dispute Resolution
19.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.
19.2 Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules. The arbitration shall take place in Texas, or at another mutually agreed location, and may be conducted remotely to the extent permitted by AAA rules.
19.3 Class Action Waiver
YOU AND CRIT KEEPERS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both parties agree otherwise, the arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
19.4 Exceptions
Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
20. Feedback
If you provide us with feedback, suggestions, ideas, or recommendations regarding the Service ("Feedback"), you grant us a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to use, modify, and incorporate such Feedback into the Service without any obligation to compensate you or credit you.
You represent that you have the right to provide such Feedback and that it does not violate any third-party rights.
21. Third-Party Services and Links
The Service may contain links to third-party websites, services, or integrations (such as AI providers, payment processors, or social platforms). These third-party services are governed by their own terms and privacy policies.
We are not responsible for the content, availability, or practices of third-party services. Your use of third-party services is at your own risk, and we encourage you to review their terms before use.
22. General Provisions
- Entire Agreement: These Terms constitute the entire agreement between you and Crit Keepers regarding the Service.
- Severability: If any provision is found unenforceable, the remaining provisions will remain in effect.
- Waiver: Our failure to enforce any right or provision shall not constitute a waiver of such right or provision.
- Assignment: You may not assign these Terms without our prior written consent. We may assign these Terms freely.
- Notices: We may provide notices to you via email or through the Service.
